Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software, website, and related services provided by QuietSignal LLC ("QuietSignal," "we," "us") at quiet-signal.com and app.quiet-signal.com (together, the "Service"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if you use the Service for a business, on behalf of that business ("you").
1. The Service
QuietSignal provides invoice intelligence and vendor analytics software for restaurant and food-service operators. The Service reads invoices you submit — by photograph, file upload, or a connected email inbox — verifies and organizes their contents, and provides related tools such as spending analysis, cost alerts, event profit-and-loss views, payroll import, and purchasing insights.
2. Access to the Service
Access is currently provided by request. Accounts are provisioned by QuietSignal, and we may accept or decline access requests at our discretion. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at customersupport@quiet-signal.org of any unauthorized use.
3. Your Content
You retain all ownership of the documents, records, and data you submit to the Service ("Your Content"), including invoices, payroll records, and business information. You grant QuietSignal a limited license to host, process, and display Your Content solely to provide and maintain the Service for you. We do not sell Your Content and do not use it for third-party advertising.
You are responsible for Your Content, including having the necessary rights to submit it. If you connect an email inbox, you represent that you are authorized to grant access to that inbox.
4. Your Responsibilities Regarding Financial Records
The Service is a tool that assists with reading, verifying, and organizing business records. It is not accounting, tax, or legal advice, and it does not replace your own review. Where the Service holds an item for review or presents figures for your confirmation, you are responsible for reviewing and approving those items. You remain solely responsible for your business's financial records, payments, tax filings, and vendor relationships, and for verifying any figure before relying on it for payment or filing purposes.
5. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or related systems; (c) interfere with or disrupt the Service; (d) reverse engineer, copy, or resell the Service; (e) submit content that infringes the rights of others or that you lack authority to submit; or (f) use the Service to process data on behalf of third parties without our written agreement.
6. Fees
Access to the Service is currently provided under invitation. If and when fees apply to your account, they will be set out in a separate written agreement or order accepted by you before any charge is made. We will not charge you without your prior agreement.
7. Intellectual Property
The Service — including its software, design, and content other than Your Content — is owned by QuietSignal LLC and protected by intellectual property laws. These Terms do not grant you any right to use the QuietSignal name, logo, or trademarks without our prior written consent.
8. Third-Party Services
The Service interoperates with third-party services you choose to connect, such as email providers. Your use of those services is governed by their own terms, and QuietSignal is not responsible for third-party services.
9. Termination
You may stop using the Service and request account deletion at any time by contacting customersupport@quiet-signal.org. We may suspend or terminate access if you materially breach these Terms, if required by law, or if we discontinue the Service, in which case we will provide reasonable notice where practicable and, upon request, a reasonable opportunity to export Your Content. Sections 3 (as to prior processing), 4, 7, 10, 11, and 12 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, QUIETSIGNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY DOCUMENT WILL BE READ COMPLETELY OR WITHOUT ERROR. INFORMATION PRESENTED BY THE SERVICE IS FOR YOUR REVIEW AND CONFIRMATION AS DESCRIBED IN SECTION 4.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, QUIETSIGNAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. QUIETSIGNAL'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO QUIETSIGNAL FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You will defend and indemnify QuietSignal against third-party claims arising from Your Content or your breach of these Terms, except to the extent caused by QuietSignal's own breach or misconduct.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Hillsborough County, Florida, and the parties consent to their jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and notify account holders by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance.
